Pricing the Largest Equity Offer in National History.

A systemic monopoly entering the public market is not a valuation exercise. It is a political settlement.
Situation Dangote Petroleum Refinery is offering 4.1 billion shares at N525 to raise N2.1525 trillion. This is the largest equity event in Nigerian history. The offer targets institutional funds and retail buyers with a N5,250 entry floor.
What we know The refinery is a liquidity vacuum. At this scale, it will suck capital from every other sector on the Nigerian Exchange. The retail tranche is a strategic choice. By distributing shares to the public, the group creates a human shield against future regulatory interference. Any move against the refinery becomes a move against the savings of the middle class.
What we do not know The market ignores the debt structure. We do not know how the refinery will service dollar-denominated obligations if the central bank cannot guarantee feedstock at fixed rates. The biggest risk is the person. The entire N2.1525 trillion valuation rests on one man. There is no clear plan for how this asset functions without his personal political capital.
What we would do Apply a heavy governance discount. The N525 price assumes perfect execution and political alignment. We will wait. We want to see if the retail tranche creates a social license or just dilutes institutional returns. A disciplined allocator values the exit over the prestige of the entry.
